By requesting a quote, placing an order, or otherwise engaging with Lightsout CNC Manufacturing Corporation (“Lightsout CNC,” “we,” “us”), you agree to be bound by these Terms and Conditions. These terms apply to all transactions, quotations, purchase orders, and services provided by Lightsout CNC.
All quotes are valid for 30 days from the date of issue unless otherwise stated in writing. Quotes are based on the specifications, drawings, and materials provided at the time of quotation. Any changes to part geometry, tolerances, material, or quantity after quote acceptance may result in revised pricing and lead times. Lightsout CNC reserves the right to withdraw or revise any quotation prior to formal order acceptance.
Purchase orders become binding upon written acknowledgment by Lightsout CNC. We reserve the right to decline any order at our discretion. Order acknowledgment constitutes the entire agreement between the parties for the described work; any conflicting terms on a customer purchase order are superseded by these Terms and Conditions unless expressly agreed to in writing by an authorized representative of Lightsout CNC.
All prices are in U.S. dollars unless otherwise specified. Payment terms are net 30 days from invoice date unless alternative terms are agreed in writing prior to order placement. Lightsout CNC reserves the right to require prepayment or deposit on new accounts, prototype orders, or orders with non-standard material requirements. Accounts past due are subject to a 1.5% monthly finance charge.
Lead times provided at quotation are estimates based on current shop loading and material availability. Lightsout CNC will make reasonable efforts to meet committed delivery dates but shall not be liable for delays caused by material shortages, supplier delays, equipment issues, or circumstances beyond our reasonable control. Title and risk of loss transfer to the customer upon delivery to the carrier.
Customer is responsible for inspecting delivered parts within 10 business days of receipt. Claims for nonconforming parts must be submitted in writing within that period with supporting documentation. Parts returned without prior written authorization will not be accepted. Lightsout CNC’s liability for nonconforming parts is limited to replacement or credit at our discretion.
Lightsout CNC is not responsible for defects, dimensional issues, or machining difficulties arising from customer-supplied raw material, stock, or drawings. Customers supplying material are responsible for ensuring material certifications, traceability, and compliance with applicable specifications. Any excess material supplied will be returned or disposed of per customer instruction.
Customer drawings, specifications, models, and technical data submitted for quoting or production are treated as confidential and are not shared with third parties. Lightsout CNC retains ownership of all CAM programs, tooling designs, fixtures, and process documentation developed internally, unless otherwise agreed in writing.
Lightsout CNC is ITAR registered with the U.S. Department of State Directorate of Defense Trade Controls. Customers submitting export-controlled drawings, models, or technical data are responsible for ensuring proper authorization and marking of controlled content. Lightsout CNC will handle all ITAR-controlled technical data in accordance with applicable federal regulations. Submission of controlled data through unverified channels is the responsibility of the submitting party.
Lightsout CNC’s total liability for any claim arising from services rendered shall not exceed the value of the specific order giving rise to the claim. In no event shall Lightsout CNC be liable for indirect, consequential, incidental, or special damages, including loss of revenue, loss of production, or downstream assembly costs, regardless of whether such damages were foreseeable.
Lightsout CNC warrants that all parts will be machined in conformance with the drawings and specifications accepted at the time of order. This warranty does not extend to defects arising from customer-supplied material, design errors in customer drawings, or specifications that are unachievable with standard machining processes. No other warranty, express or implied, is provided.
These Terms and Conditions are governed by the laws of the State of California. Any disputes arising from transactions with Lightsout CNC shall be subject to the exclusive jurisdiction of the courts of Los Angeles County, California.
Lightsout CNC reserves the right to update these Terms and Conditions at any time. Current terms are posted at lightsoutcnc.com and apply to all orders placed after the effective date of any revision.
